1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Findexar ("we," "our," or "us") governing your access to and use of our SaaS operations platform for ChatGPT apps and agents, including our website, services, and related applications (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are accessing or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Findexar provides a SaaS operations layer that enables creators to build, deploy, and monetize ChatGPT apps and agents. Our Service includes:

  • Organization and project management
  • Subscription plan creation and management
  • User authentication and access control
  • Credit tracking and billing
  • Stripe Connect integration for payment processing
  • Usage analytics and reporting
  • Support and ticketing functionality

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

3.3 Organization Accounts

If you create an organization account, you are responsible for managing access and permissions for all users within that organization. You are also responsible for ensuring that all users comply with these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Infringe upon or violate the intellectual property rights of others
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to harass, abuse, or harm others
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or store personal data about other users without their consent
  • Use automated systems to access the Service without our prior written consent
  • Reverse engineer, decompile, or disassemble any part of the Service

5. Payment Terms

5.1 Subscription Plans

Our Service offers various subscription plans with different features and pricing. You agree to pay all fees associated with your selected plan in accordance with the pricing terms displayed on our website or as otherwise agreed in writing.

5.2 Payment Processing

Payments are processed through Stripe Connect. By using our Service, you agree to Stripe's terms and conditions. We are not responsible for any issues arising from payment processing by Stripe or other third-party payment processors.

5.3 Billing and Refunds

Subscription fees are billed in advance on a monthly or annual basis, as applicable. All fees are non-refundable except as required by law or as otherwise specified in writing. We reserve the right to change our pricing at any time, with notice to existing customers.

5.4 Overages and Credits

Usage that exceeds your plan's included credits may result in additional charges. You are responsible for monitoring your usage and managing your subscription plan accordingly.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Findexar and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

6.2 Your Content

You retain ownership of any content, data, or materials you submit, post, or display through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Service.

6.3 Third-Party Services

The Service may integrate with third-party services, including MCP servers, Stripe, and authentication providers. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the content, privacy practices, or terms of third-party services.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

You are responsible for ensuring that any data you process through the Service, including data processed by MCP servers and downstream connectors, complies with applicable data protection laws and regulations, including GDPR, CCPA, and HIPAA, where applicable.

8. Service Availability and Modifications

We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times or free from errors, interruptions, or defects. We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice.

We may perform scheduled maintenance and updates, which may temporarily interrupt access to the Service. We will make reasonable efforts to notify you of planned maintenance when possible.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion features in the Service. Upon termination, your access to the Service will cease, and we may delete your account and data in accordance with our data retention policies.

9.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the Service or other users.

9.3 Effect of Termination

Upon termination, all rights and licenses granted to you will immediately cease. You remain responsible for any fees or charges incurred prior to termination. We are not obligated to retain or provide you with any data after termination.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Findexar and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Findexar is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except where prohibited by law. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Findexar regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.
